These Terms of Service ("Terms") govern your access to and use of the NashVec platform at nashvec.com and related services (collectively, the "Service") provided by Gnosis Lab LLC ("Gnosis Lab," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, subscribing to a plan, or otherwise using the Service, you confirm that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

NashVec is a cloud-based software-as-a-service (SaaS) platform that uses artificial intelligence to assist with software test generation, execution, maintenance, and reporting. The Service is provided on a subscription basis as described on our pricing page.

3. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@nashvec.com if you suspect unauthorized access.

4. Subscription and Billing

The Service is offered on a recurring subscription basis (monthly or annually, as selected). By subscribing, you authorize Gnosis Lab LLC to charge your payment method on a recurring basis until you cancel.

  • Subscription fees are billed in advance at the start of each billing cycle.
  • Prices are listed in U.S. dollars and are subject to change with 30 days' notice.
  • Failure to pay may result in suspension or termination of your account.
  • Free trial periods, if offered, convert to a paid subscription unless cancelled before the trial ends.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Upload malicious code, interfere with the Service's operation, or overload our infrastructure.
  • Resell, sublicense, or redistribute the Service without our written consent.
  • Use the Service to test applications you do not own or have authorization to test.

6. Intellectual Property

The Service, including all software, algorithms, designs, documentation, and branding, is owned by Gnosis Lab LLC and protected by intellectual property laws. You retain ownership of your code, test data, and content uploaded to the Service. By using the Service, you grant us a limited license to process your content solely to provide and improve the Service.

7. Data and Privacy

Our collection and use of personal information is described in our Privacy Policy. You are responsible for ensuring that any data you upload complies with applicable data protection laws and that you have the necessary rights and consents.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. Enterprise plans may include specific uptime SLAs as outlined in a separate agreement.

9. Limitation of Liability

To the maximum extent permitted by law, Gnosis Lab LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. AI-generated test results should be reviewed by qualified personnel before being relied upon in production environments.

11. Termination

You may cancel your subscription at any time through your account settings. We may suspend or terminate your access if you violate these Terms or fail to pay applicable fees. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will remain in effect.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Continued use after changes constitutes acceptance of the updated Terms.
